END-USER LICENSE AGREEMENT

This End User License Agreement is an agreement between you (either an individual or a single entity) and ReadSoft AB for the software product and documentation (including electronic and online) accompanying this License ("Software").

YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY INSTALLING AND USING THE SOFTWARE. IF YOU DO NOT AGREE, YOU ARE NOT AUTHORIZED TO INSTALL OR USE THE SOFTWARE.

PLEASE OBSERVE THAT YOU NEED TO PURCHASE A START PACKAGE LICENSE KEY IN ORDER TO FULLY USE THE SOFTWARE; SEE SECTION 2 BELOW

1. License. ReadSoft grants you the following rights subject to all terms and conditions of this Agreement.

Installation and use. You may download and install the Software free of charge. In order to fully use the Software, you must purchase a Start package license key; see section 2 below. You may make one copy of the Software for backup purposes only. The backup copy must contain all copyright information contained on the original. You agree to comply with all applicable international and national laws that apply to the Software and its designed use. It is your sole responsibility that the use, and the results of the use, of the Software are in conformity with all applicable laws, regulations, and directives.

2. Start package. As stated on the site from which you download the Software, you must purchase a Start package to fully use the Software as designed. A Start package is a license "key" necessary for activating all parts of the Software, including, but not limited to, its print driver. Choices of different Start packages are available to suit your needs. The different start packages contain different numbers of EZ-Stamps and numbers of maximum concurrent recipients. You may reload a Start package with additional EZ-Stamps, at an additional charge. You may increase the maximum number of concurrent recipients, at an additional charge. Details concerning prices and how to purchase and use a Start package and EZ-Stamps and recipients are described on the site from which you download the Software. It is not possible to upgrade one Start package to another. You may only use a Start package on one single computer. You may not copy a Start package. You may not reuse the EZ-Stamps a Start package originally contains, or any additional EZ-Stamps you refill the Start package with. You may not increase the maximum number of concurrent recipients without appropriate additional payment.

ReadSoft reserves all rights not expressly granted to you in this Agreement.

3. Support Service. ReadSoft may provide a knowledge database, patches, and supplements for the Software, on-line and free of charge ("Support Service"). You will not be notified if and when patches or supplements are made available. You may download patches and supplements from the same site you download the Software. ReadSoft may provide new versions of the Software. A Base License designed for one version of the Software may not be used in conjunction with another version of the Software. If you wish to use a new version of the Software, you must purchase a new Start package license designed for that new version. Support Service is subject to the terms of this Agreement.

4. Copyright and Restrictions. The Software is owned by ReadSoft or its licensors and is protected by Swedish copyright laws, international treaty provisions, and other applicable national laws. You agree to treat the Software as copyrighted material. You may not a) reverse engineer, decompile, or disassemble the Software other than as permitted by applicable law notwithstanding this limitation; b) patch, modify or, change the Software; c) transfer, distribute, loan, hire out, or lease the Software to a third party, or; d) transmit the Software over a network.

5. Termination. Should you fail to comply with any term(s) of this Agreement, the License under this Agreement will terminate automatically without requirement of notice from ReadSoft. In case of termination, you must destroy all copies of the Software and all of its component parts.

6. DISCLAIMER OF WARRANTIES. READSOFT OFFERS AND YOU ACCEPT THE SOFTWARE AND ANY SUPPORT SERVICE "AS IS". YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE USE OF THE SOFTWARE IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READSOFT AND ITS LICENSOR(S) EXPRESSLY DISCLAIM ALL WARRANTIES AND/OR CONDITIONS, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, USE, ACCURACY, RELIABILITY, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. READSOFT DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE AND ANY SUPPORT SERVICES REMAINS WITH YOU.

7. LIMITED LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READSOFT AND ITS LICENSOR(S) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS PROFIT, LOST SAVINGS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR DATA, OR ANY OTHER PECUNIARY LOSS, ARISING OUT OF THE INSTALLATION OR USE OF OR INABILITY TO USE THE SOFTWARE AND EVEN IF READSOFT OR ANY LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF READSOFT AND ANY OF ITS LICENSORS UNDER ANY PROVISION OF THIS AGREEMENT AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO ACTUAL DAMAGES INCURRED BY YOU BASED ON REASONABLE RELIANCE UP TO THREE HUNDRED US DOLLARS ($ 300.00).

8. Applicable law. This Agreement shall be governed by the laws of Sweden except that body of law pertaining to conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods will not apply.

9. Entire Agreement. This Agreement is the entire agreement between you and ReadSoft relating to the Software and the Support Services (if any), and it supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this Agreement.
